Agreement to Terms

By accessing or using the Heddle website or platform, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our website or platform.

Our Services

Heddle provides a small-business platform for Caribbean merchants, including a hosted storefront, WhatsApp-based ordering, point of sale, delivery and booking management, inventory, analytics, and related features. Specific features available to your account may vary based on your plan and region.

Accounts

To use the Heddle platform you must create an account and provide accurate information. You are responsible for keeping your credentials secure and for any activity under your account. You must be authorized to operate the business you register on Heddle.

Acceptable Use

You agree not to:

  • Use Heddle for any unlawful activity or to sell goods or services prohibited by applicable law
  • Misrepresent your identity or your business
  • Interfere with the integrity or security of the platform
  • Scrape, reverse-engineer, or abuse our APIs or infrastructure
  • Upload content that infringes third-party rights

Your Business Data

You retain ownership of the business data you put into Heddle — your products, pricing, customers, orders, and related records. You grant us the rights necessary to operate the platform on your behalf, including hosting, processing, and displaying your content to your customers. You can export your business data at any time.

Intellectual Property

The Heddle name, logo, platform, and website content are our intellectual property and may not be used without our prior written permission.

Fees and Payment

Plan pricing, transaction fees, and accepted payment methods are set out on our website or in your account. We may update pricing from time to time with reasonable notice. You are responsible for any applicable taxes in your jurisdiction.

Warranties and Disclaimers

We provide the Heddle platform "as is" and "as available." To the maximum extent permitted by law:

  • We do not guarantee specific business outcomes or results from using Heddle.
  • Our website and platform content is provided for informational and operational purposes only and does not constitute professional advice.
  • We do not warrant that the platform will be uninterrupted, error-free, or free of harmful components.

Limitation of Liability

To the maximum extent permitted under the laws of Trinidad and Tobago:

  • Our total liability for any claim arising from your use of Heddle is limited to the fees you paid us in the 12 months preceding the claim.
  • We are not liable for any indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business opportunities.
  • This limitation applies regardless of the legal theory under which liability is sought.

Indemnification

You agree to indemnify and hold harmless Heddle from any claims, damages, or expenses arising from your use of the platform, your breach of these terms, or your violation of any third-party rights.

Termination

You may terminate your account at any time. We may suspend or terminate your access if you materially breach these terms or if required by law. On termination, you can export your data for a reasonable period before it is deleted.

Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed through the use of the platform.

Force Majeure

Neither party will be liable for delays or failures in performance resulting from causes beyond their reasonable control, including natural disasters, government actions, internet or infrastructure failures, or pandemics.

Governing Law and Dispute Resolution

These terms are governed by and construed in accordance with the laws of the Republic of Trinidad and Tobago.

Any dispute arising from these terms or the Heddle platform will first be addressed through good-faith negotiation. If the dispute cannot be resolved within 30 days, it will be submitted to binding arbitration in Trinidad and Tobago, conducted in accordance with the Arbitration Act of Trinidad and Tobago.

Severability

If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Entire Agreement

These terms constitute the entire agreement between the parties regarding the subject matter herein and supersede all prior agreements and understandings.
